You must be at least 18 years old and have the authority to enter into these Terms to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2. Services Provided

Raintree Ads offers:

• Paid social media advertising services across platforms such as Meta, TikTok, Pinterest, and others.

• Access to Exactrics, our marketing analytics and budget allocation software.

• Consulting and creative services related to advertising campaigns.

We may update, modify, or discontinue any part of the Services at our discretion.

3. Account Registration & Security

If you create an account for Exactrics or other Services:

• You must provide accurate and complete information.

• You are responsible for maintaining the confidentiality of your login credentials.

• You agree to notify us immediately if you suspect unauthorized access to your account.

4. Payment & Billing

• Fees for advertising services and Exactrics subscriptions will be outlined in your service agreement or subscription plan.

• Payment terms, including due dates and late fees, will be stated in your invoice or contract.

• You are responsible for any third-party advertising spend (e.g., Meta Ads budget) in addition to our fees.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes.

• Upload, share, or distribute content that infringes on intellectual property rights.

• Attempt to gain unauthorized access to our systems or other users’ accounts.

• Interfere with the proper functioning of the Services.

6. Intellectual Property

• All content, trademarks, and intellectual property in the Services are owned by or licensed to Raintree Ads.

• You may not copy, modify, or distribute our materials without written permission.

• Any feedback or suggestions you provide may be used by us without restriction or compensation.

7. Client Data & Campaign Access

• You grant us permission to access and manage your advertising accounts for the purpose of providing Services.

• Campaign data processed through Exactrics or our ad management services remains your property, but we may use aggregated, anonymized data to improve our offerings.

8. Disclaimers & Limitation of Liability

• We make no guarantees regarding the results of advertising campaigns or software use.

• To the fullest extent permitted by law, Raintree Ads will not be liable for indirect, incidental, or consequential damages.

• Our total liability to you for any claim will not exceed the amount you paid us in the 3 months preceding the claim.

9. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms. You may terminate your account by contacting us directly. Termination does not relieve you of any outstanding payment obligations.

These Terms will be governed by the laws of the State of Texas, without regard to its conflict of laws principles.
